  • Final Deliverables – The completed outputs provided to the client under the Agreement.
  • Project – The defined scope of work agreed between the parties.
  • Services – Consulting or related services provided by OutsourceCS.com.
  • Third-Party Materials – External content or tools owned by entities other than OutsourceCS.com.

Provision of Services

Services will be delivered according to the milestones and timelines described in the applicable Agreement. OutsourceCS.com applies professional skill and commercially reasonable efforts in performing Services.

Proposals and Scope Confirmation

Any proposal issued by OutsourceCS.com remains open for acceptance for thirty (30) days unless otherwise stated. If not accepted within that timeframe, we may revise pricing, scope, or terms before reissuing.

Fees, Expenses, and Taxes

Unless expressly stated in the Agreement:

  • External service costs or third-party fees are invoiced separately.
  • Approved out-of-pocket expenses may be billed at cost.
  • The client is responsible for any applicable taxes related to the Services.

Payment Terms

Invoices are payable within five (5) days from the invoice date unless otherwise agreed in writing. Payment schedules may follow milestone stages outlined in the Agreement.

Changes to the Scope of Work

All change requests must be submitted in writing.

Adjustments that do not significantly impact timelines or cost may be handled within the existing scope. Changes that materially affect Deliverables, pricing, or deadlines require a revised or supplemental agreement.

Proposals related to scope modifications should generally be accepted within fourteen (14) working days unless specified otherwise.

Delays and Unforeseen Circumstances

If delays arise due to the client’s actions, approvals, or incomplete information, timelines may be extended proportionally.

If delays occur due to our internal constraints, we will notify the client promptly and seek a reasonable resolution.

Events beyond reasonable control, including force majeure situations, are not considered breaches and may extend agreed timelines.

Review and Approval Process

Deliverables may undergo internal quality review before submission.

Clients are expected to review delivered materials within seven (7) working days and provide feedback. Revisions within the agreed scope will be addressed within a reasonable timeframe.

Client Responsibilities

The client agrees to:

  • Provide lawful and accurate materials
  • Confirm they hold necessary rights to any submitted content
  • Make timely decisions and approvals
  • Conduct final proofreading unless otherwise agreed

Attribution and Portfolio Use

Unless otherwise agreed, OutsourceCS.com may reference completed work in its portfolio. Any accreditation reference will be reasonable and factual. Neither party shall unreasonably prevent accurate acknowledgment of collaboration.

Confidential Information

Each party agrees to protect confidential information shared during the engagement. This obligation does not apply to information that is publicly available or independently obtained without breach.

Independent Contractor Status

OutsourceCS.com operates as an independent contractor. These Terms do not create a partnership, joint venture, employment relationship, or exclusivity arrangement. We may engage subcontractors while remaining responsible for overall service delivery.

Limitation of Liability

To the extent permitted, Services are provided without additional guarantees beyond those expressly agreed in writing. Total liability for any claim relating to Services shall not exceed the fees paid for the specific Services giving rise to the claim.

Ownership and Usage Rights

Upon full payment, the client receives a non-exclusive, perpetual, worldwide right to use the Final Deliverables as defined in the Agreement.

All Company Tools, methodologies, and underlying systems remain the property of OutsourceCS.com unless explicitly transferred in writing. Use beyond the agreed scope may require additional authorization.

Ongoing Support

Any post-delivery support must be agreed in writing and may be billed separately. Unauthorized modifications by third parties may void applicable support arrangements.

Amendments to These Terms

OutsourceCS.com may revise these Terms and Conditions from time to time. The current version posted on OutsourceCS.com will govern use of the website and Services. Continued use following updates constitutes acceptance of the revised Terms.
